Statutory modifications for companies are usually addressed when a specific need arises, but in many cases the statutes no longer reflect the real situation of the company for some time. This disconnection can generate legal uncertainty and make it difficult to make key decisions.
At UR Global we understand that statutory modifications must accompany the growth of the company, facilitating its operations and anticipating possible future scenarios, instead of becoming an obstacle.
What does this service include?
The advisory service on company bylaw modifications covers the entire process necessary to adapt the bylaws to the current situation of the business. We begin with an analysis of the existing structure and the changes that the company needs to implement, whether in relation to partners, administrative bodies or activities.
From this analysis, we draft or revise the statutes so that they clearly and accurately reflect the new reality of the company. This work is not limited to a technical adaptation, but incorporates a practical vision aimed at facilitating daily management.
In addition, we accompany the entire formal process, from the preparation of the documentation to the coordination with the notary and registry, ensuring that the statutory modifications are implemented correctly and without delays.
We also assist in the formalization of the process, ensuring that the documentation is correctly prepared and that the distribution is carried out in accordance with legal requirements, avoiding future incidents or contingencies.
Methodology
Our methodology is based on understanding the complete context of the company before proposing any changes. We analyze the current situation, growth objectives and possible future scenarios to design statutory modifications for companies that provide stability and flexibility.
This approach allows us to avoid rigid solutions that may limit the development of the business. At the same time, it guarantees that each change is aligned with the fiscal and financial structure of the company, avoiding unforeseen impacts.
We work in coordination with other areas to ensure a global vision, which is especially relevant in companies with an international presence or more complex structures.
Who is the statutory modification service for?
This service is aimed at companies that need to adapt their statutes as a result of changes in their structure or activity. It is common in situations such as the entry or exit of partners, capital increases or changes in the company’s administration.
It is also especially relevant for growing companies or in internationalization processes, where statutory changes must accompany the evolution of the business without generating friction.
Likewise, it is useful for companies that, although have not made recent changes, need to review their bylaws to ensure that they remain appropriate and do not limit their current operations.
Complementary services
Advice on statutory modifications is complemented by other key services such as ongoing legal advice, tax planning and support in corporate operations.
This comprehensive approach allows each change to be aligned with the company’s global strategy. company, guaranteeing coherence in all areas and facilitating orderly and sustainable growth.

One of the requirements for taking part in public tendering processes is the Single Register of Tenderers – RUP, a legally established register maintained by chambers of commerce, in which national or foreign natural or legal persons domiciled or with a branch in Colombia who wish to enter into contracts with state entities for the execution of works, supply of goods or provision of services must be enrolled. This register contains information relating to the experience, legal capacity, financial capacity, organisational capacity and classification of the tenderer. This procedure has a maximum response time of 15 working days once the registration application has been submitted to the commercial register.
It is important to bear in mind that the RUP must be renewed annually; renewal must be carried out from the first (1st) of January and no later than the fifth (5th) working day of April each year, failing which the initial registration will be lost.
Tax and accounting review to identify potential tax credits
Brazil’s complex tax system can lead to situations in which a company accumulates tax credits, whether as a result of its transactions or negative balances. In such cases, the company may be entitled to use those tax credits.
At UR Global, we analyse the company’s accounting and tax position to determine whether such credits exist. Once identified and confirmed, UR Global handles their recovery, management and offsetting.
