International taxation and subsidiary management: keys to operating in the U.S. and Mexico

More and more Spanish companies are considering their expansion into strategic markets such as the US and Mexico. Both countries offer significant growth opportunities, access to new clients and possibilities of international consolidation, but they also present fiscal, legal and operational challenges that must be carefully analyzed before starting any implementation process.

With the aim of helping companies better understand this scenario, UR Global participated together with Valencia Chamber in a face-to-face conference focused on international taxation and the key aspects that Spanish companies must take into account when operating in the US and Mexico.

During the session, specialized professionals from UR Global in both markets participated, addressing from a practical perspective the regulatory, tax and labor differences that affect international companies.

Going international is no longer just about opening a subsidiary

One of the main messages of the day was that business internationalization today requires much more than establishing a company abroad.

Operating in different countries implies correctly coordinating:

  • International taxation between parent company and subsidiary.
  • Local accounting and tax obligations.
  • Labor regulations.
  • The operational structure.
  • International economic flows.
  • Administrative and documentary management.

Poor initial planning can generate operational friction, fiscal cost overruns or legal risks that directly affect the profitability and stability of the international project. For this reason, more and more companies are looking for specialized support to correctly structure their operations from the beginning.

United States: a market with enormous potential and great complexity

The United States continues to be one of the most attractive destinations for Spanish companies thanks to:

  • Its market size.
  • Your consumption capacity.
  • Its legal stability.
  • Your business ecosystem.
  • Its scalability.

However, during the day it was highlighted that it is also a highly complex regulatory environment, especially for companies that do not know in depth how it works.

The American federal structure implies important differences between states in aspects such as:

  • Taxation. At the federal and state level.
  • Labor regulations. Issues such as health insurance, sector/state compliance, workers compensation, 401-K
  • Corporate obligations. Management of corporations (CORP/INC), limited liability companies (LLC)
  • Licenses and permits.
  • Indirect taxation.
  • Administrative requirements.

Furthermore, the correct choice of the legal and tax structure can have a direct impact on:

  • The taxation of the operation.
  • The relationship between parent company and subsidiary. Studies on transfer pricing, international billing and related parties.
  • Repatriation of profits. Dividend management and application of the CDI.
  • Exposure to tax risks.
  • Operational efficiency.

From UR Global it was highlighted the importance of previously analyzing the most appropriate implementation model for each company and sector.

Mexico: cultural proximity and strategic opportunities

Mexico continues to consolidate itself as one of the main investment destinations for Spanish companies in Latin America.

Its cultural and linguistic proximity, its network of trade agreements and its strong connection with the US market turn the country into a strategic platform for international operations.

During the day, key aspects were addressed such as:

  • The constitution of companies.
  • Mexican tax regulations.
  • Labor management.
  • Accounting obligations.
  • Coordination between parent company and subsidiary.
  • International taxation between Mexico and Spain.

It was also analyzed how certain structural decisions can affect:

  • The tax efficiency of the group.
  • Intercompany flows.
  • The application of double taxation agreements.
  • Transfer pricing obligations.

International taxation: a strategic piece in business expansion

One of the central blocks of the event was dedicated to international taxation and its impact on operations between Spain, the United States and Mexico.

In international operations, aspects such as intercompany billing, provision of services between companies, dividends, intragroup financing, transfer pricing and permanent establishments must be structured correctly to avoid tax risks and regulatory compliance problems.

During the session it was highlighted that many companies initially underestimate the importance of international tax planning, when in reality it can become a decisive factor for the success of the project.

From UR Global – International taxation for subsidiaries It was explained how a correct tax strategy allows not only to ensure regulatory compliance, but also to optimize international operations in an efficient and sustainable way.

Subsidiary management: international coordination and control

Another point discussed was the growing need for have coordinated structures for the comprehensive management of international subsidiaries.

As companies expand their activity to different countries, it is essential to maintain consistency between:

  • The matrix in Spain.
  • The local obligations of each subsidiary.
  • Consolidated financial information.
  • Administrative processes.
  • Tax and labor compliance.

In this context, UR Global shared its experience accompanying Spanish companies in the comprehensive management of subsidiaries in 11 countries, offering legal, tax, accounting, labor and administrative support directly from specialized local teams.

Internationalization with planning in the US and Mexico

The main conclusion of the day was clear: Both the United States and Mexico represent markets of great potential for Spanish companies, but operating safely requires preparation, planning and specialized knowledge.

International expansion must be approached from a strategic vision that allows:

  • Minimize risks.
  • Optimize structures.
  • Guarantee regulatory compliance.
  • Improve operational efficiency.
  • Facilitate the sustainable growth of the company.

From UR Global We continue to accompany companies in their international implementation processes, helping them structure and manage their operations abroad safely and efficiently.

We thank Cámara Valencia and all the attending companies for participating in this day focused on one of the great current challenges of the business community: growing internationally in a solid and sustainable way.
