Brazil: business opportunities and keys to a secure business implementation

Last week, from UR Global we participated in a webinar organized together with the Chamber of Commerce, Industry and Services of Madrid / COMEX Madrid, in collaboration with DHL Express Spain, European Commission and ODILO TID SL, focused on one of the markets with the greatest potential for business internationalization: Brazil.

The session, given by Marcus Vinicius Monteiro de Andrade Silva, General Director of UR Global Brazil, allowed us to analyze both the real business opportunities that the country offers as the main fiscal, labor and operational challenges that foreign companies must take into account before starting operations.

Brazil: a strategic market for international expansion

Brazil is consolidating itself as one of the most relevant economies in the world and one of the most attractive markets for companies seeking to grow in Latin America.

With more than 215 million consumers, a diversified economy and a strategic position within Mercosur, the country offers important opportunities in sectors such as:

  • Industry and manufacturing.
  • Agribusiness.
  • Technology and digitalization.
  • Renewable energy.
  • Infrastructure and logistics.
  • E-commerce and fintechs.

During the webinar it was highlighted that Brazil should not be analyzed only as a country, but as a market with a continental dimension, with enormous consumption capacity and a highly diversified internal market.

In addition, the growth of electronic commerce, the expansion of the middle class and the development of new digital ecosystems continue to drive the arrival of foreign investment.

The Mercosur – European Union agreement and the potential of Brazil

One of the topics addressed was the strategic impact of Mercosur – European Union agreement and the opportunities it can generate for European companies interested in expanding towards Latin America.

Brazil occupies a central position within Mercosur and acts as:

  • Gateway to Latin America.
  • Regional production and distribution hub.
  • Platform for international operations.
  • Key market for global value chains.

This context makes the country a particularly attractive destination for European companies seeking to internationalize their activity and diversify markets.

Brazilian tax reform: simplification, but with important challenges

One of the main blocks of the webinar was focused on the tax reform in Brazil and how this transformation will affect foreign companies.

At the moment, Brazil has a highly complex tax system, characterized by:

  • Multiple federal, state and municipal taxes.
  • Fragmented regulations.
  • Different calculation bases.
  • Frequent legislative changes.
  • Diverse interpretations between administrations.

The reform seeks to gradually simplify the model through the implementation of a dual VAT:

  • IBS (Tax on Goods and Services).
  • CBS (Contribution on Goods and Services).

Although this transition represents a positive evolution towards a more transparent system aligned with international standards, it will also mean during years a coexistence between the current system and the new model, temporarily increasing operational complexity for many companies.

For this reason, UR Global insisted on the importance of having specialized advice capable of:

  • Correctly interpret current regulations.
  • Anticipate fiscal impacts.
  • Adapt internal processes.
  • Manage risks and contingencies.
  • Make informed strategic decisions.

Brazilian labor legislation: complexity and prevention

Another of the key points of the webinar was Brazilian labor legislation and the need to properly understand its operation before starting operations.

Labor regulations in Brazil, based mainly on the CLT (Consolidação das Leis do Balho), establish extensive and detailed regulations that require a high level of compliance.

During the session, the importance of previously analyzing:

  • Real labor costs.
  • Mandatory benefits.
  • Social security.
  • Collective agreements.
  • Working days.
  • Accessory obligations.

One of the most relevant aspects is that the total cost of an employee can significantly exceed the base salary due to social charges, mandatory benefits and other legal obligations.

In this sense, carrying out adequate work planning from the beginning allows:

  • Reduce legal risks.
  • Avoid frequent mistakes.
  • Correctly adjust financial planning.
  • Design more efficient contracting structures.
  • Ensure more sustainable operations.

The importance of advance planning

One of the central messages of the webinar was that success in Brazil depends largely on correct strategic planning before implementation.

The entry of a foreign company into the country requires a prior analysis that goes beyond the commercial potential of the market.

Among the fundamental aspects that must be analyzed are:

  • The most appropriate corporate structure.
  • The tax impacts of the business model.
  • Fiscal and labor risks.
  • The operational structure.
  • Financial viability.
  • Legal investor protection mechanisms.

The importance of instruments such as:

  • Partner agreements.
  • Well-structured social contracts.
  • Due diligence in acquisitions of local companies.
  • Previous tax and corporate studies.

These tools allow you to prevent conflicts, protect your investment, and facilitate safer decision-making.

Due diligence and protection of the foreign partner

During the session, the fundamental role of due diligence in acquisition or association processes with local companies.

The prior review allows you to identify:

  • Tax and labor contingencies.
  • Regulatory risks.
  • Hidden liabilities.
  • Contractual situation of the company.
  • Possible future financial impacts.

Likewise, the importance of establishing solid legal mechanisms that guarantee legal certainty and clear governance rules from the beginning of the operation was highlighted.

Brazil: great potential, but with strategy and security

The main conclusion of the webinar was clear: Brazil offers enormous opportunities for international companies, but Operating successfully requires preparation, local knowledge and a well-structured strategy.

The country combines:

  • Huge business potential.
  • A large-scale consumer market.
  • Strategic growing sectors.
  • A privileged geographical position.

But it also presents important challenges related to:

  • Tax complexity.
  • Labor regulation.
  • Operational risks.
  • Administrative requirements.

Therefore, having specialized advice from the first phases of the project is key to transforming complexity into a competitive advantage.

From UR Global We accompany international companies throughout the implementation and operational management process in Brazil through tax, accounting, labor, legal and corporate services adapted to each project.
